Terms of Service

You must be at least 18 years of age and have the legal authority to enter into a binding contract on behalf of yourself or your business to use the Service. By creating an account, you represent and warrant that all information you provide is accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@msprenewals.com if you suspect unauthorized access to your account.

One account may serve one organization. You may add team members within your organization subject to your subscription plan limits.

MSP Renewals offers subscription plans on a monthly basis. By selecting a plan and providing payment information, you authorize us to charge the applicable fees to your payment method on a recurring basis until you cancel. Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date. You will receive an email receipt after each successful charge. To cancel auto-renewal, visit your account settings or contact support@msprenewals.com at least 24 hours before your next billing date.

Current Plans:

• Everything Plan — Unlimited devices, all features, $49/month (regular) or $29/month (Founder rate)
• White Glove Onboarding — One-time $250 add-on

Founder Pricing: Customers who subscribe during the founding period (first 25 subscribers) lock in their discounted rate for the life of their subscription. Founder pricing is non-transferable and applies only to the original subscribing organization. Founder pricing is forfeited upon cancellation.

All fees are in US dollars. We reserve the right to change pricing for non-Founder subscribers with 30 days written notice. Founder pricing is exempt from standard price increases.

Payment is processed by Stripe. By providing payment information, you agree to Stripe's terms of service. We do not store your full payment card information on our servers.

You may cancel your subscription at any time through your account settings or by contacting support@msprenewals.com. Cancellation takes effect at the end of the current billing period. You will retain access to the Service through the end of your paid period.

Refunds: We do not provide refunds for partial months or unused portions of a subscription period. If you experience a service outage or technical issue caused by MSP Renewals that prevents you from using the Service for more than 48 consecutive hours, you may request a prorated credit for the affected period.

White Glove Onboarding fees are non-refundable once the onboarding session has been scheduled.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service to store, transmit, or process data in violation of applicable law
• Attempt to gain unauthorized access to any portion of the Service or its related systems
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
• Use the Service to transmit spam, unsolicited communications, or malicious code
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Use the Service in a manner that could damage, disable, overburden, or impair the Service
• Resell, sublicense, or provide access to the Service to third parties outside your organization without prior written consent
• Use automated scripts to scrape, crawl, or extract data from the Service

You retain full ownership of all data you input into the Service, including client information, device records, serial numbers, and renewal data ("Customer Data"). We do not claim any ownership rights over your Customer Data.

By using the Service, you grant MSP Renewals a limited, non-exclusive license to store, process, and transmit your Customer Data solely as necessary to provide the Service to you. We will not use your Customer Data for any purpose other than operating the Service.

You are responsible for ensuring that your use of the Service and the data you input complies with all applicable laws, including data protection laws, and that you have obtained any necessary consents from your clients to process their information through the Service.

Upon cancellation, you may request an export of your Customer Data within 30 days. After 30 days following account termination, your data will be scheduled for deletion and permanently removed within 90 days.

Each party agrees to keep confidential any non-public information received from the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

We treat your Customer Data, client lists, device configurations, and business information as confidential. We will not disclose this information to third parties except as described in our Privacy Policy or as required by law.

The Service and its original content, features, functionality, design, code, and all related intellectual property are and remain the exclusive property of MSP Renewals. These Terms do not grant you any ownership rights in the Service.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription period.

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without obligation to you.

The Service integrates with third-party platforms including TD SYNNEX, D&H Distributing, Ingram Micro, Stripe, Supabase, and others. Your use of these integrations is subject to the respective third party's terms of service. We are not responsible for the availability, accuracy, or conduct of third-party services.

When you initiate a distributor quote request through the Service, you authorize MSP Renewals to transmit the relevant device and contact information to the selected distributor on your behalf. Quote responses and pricing from distributors are provided for informational purposes only. MSP Renewals does not guarantee distributor pricing, availability, or response times.

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, which we will announce in advance when possible, or due to circumstances beyond our control.

We are not liable for any losses, damages, or costs resulting from service interruptions, outages, or data unavailability.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MSP RENEWALS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO MSP RENEWALS IN THE THREE MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless MSP Renewals and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Tarrant County, Texas.

Before filing any legal claim, you agree to first contact us at support@msprenewals.com and attempt to resolve the dispute informally for at least 30 days.

We reserve the right to modify these Terms at any time. We will provide at least 14 days notice of material changes via email to your registered address and/or by posting a notice within the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

If we make changes that materially reduce your rights or increase your obligations, you may cancel your subscription within 30 days of notice and receive a prorated refund for any prepaid subscription period.

We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms or if we reasonably believe your use poses a risk to the Service or other users.

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination — including ownership, disclaimers, indemnification, and limitations of liability — shall survive.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MSP Renewals regarding the Service and supersede all prior agreements, representations, and understandings. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
